All services are governed by separate agreements, proposals, or Statements of Work (SOW) to ensure clarity and alignment with client objectives.

3. Client Obligations – Your Responsibilities

Clients agree to:

• Provide accurate and complete information
• Use services lawfully
• Maintain confidentiality of credentials
• Cooperate during project execution

4. Fees & Payment – Secured Transactions

• Fees are defined in proposals or agreements
• Payments must be made on time
• Late payments may result in suspension or termination of services
• Payments are securely processed through trusted third-party providers such as Stripe

These Terms & Conditions are governed by the laws of the Province of Ontario, Canada, and the applicable federal laws of Canada, without regard to conflict of law principles.

13. Dispute Resolution – How Disputes Are Handled

In the event of any dispute, claim, or controversy arising from or related to these Terms or the services provided by Build Stack io:

1. Good-Faith Negotiation – Both parties agree to first attempt to resolve the issue through amicable, good-faith discussions.
2. Binding Arbitration – If the dispute cannot be resolved through negotiation, it will be referred to binding arbitration in Ontario, Canada.

• Held in English
• Follow generally accepted commercial arbitration rules applicable in Ontario
• The arbitrator’s decision is final and binding
• Each party is responsible for its own legal fees unless the arbitrator decides otherwise
